Terms of Service

1. Scope and Acceptance

These Terms of Service govern access to and use of the websites, software, dashboards, APIs, webhooks, voice assistants, analytics, recordings, transcripts, messaging tools, and related services made available by SkopGO Ventures LLC through www.skopgo.com, www.skopgo.com/mia, www.skopgo.com/jiu, and any related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity.

2. Services

SkopGO provides AI-powered communication infrastructure for businesses, including inbound call handling and, when enabled by a Client, event-triggered outbound call execution, together with associated tools such as recordings, transcripts, summaries, scheduling, routing, logging, analytics, dashboards, APIs, webhooks, and related workflow features.

SkopGO does not generate leads, does not originate campaigns on its own behalf, and does not initiate communications independently of Client instructions.

3. Client-Controlled Communications

If a Client enables outbound communications, each call, text-related workflow, or similar communication must be triggered by the Client's own systems, dashboard actions, API requests, webhook submissions, or other Client-controlled workflows. SkopGO acts as a technology platform and execution layer only.

Clients are solely responsible for deciding whether to activate outbound functionality, what data to submit, what prompts or scripts to use, what call-triggering events to rely on, and whether any communication is lawful and authorized before instructing SkopGO to execute it.

4. Client Responsibility for Data, Consent, and Compliance

Each Client is solely responsible for collecting contact information lawfully; obtaining and documenting any required consent, authorization, or disclosure; maintaining and honoring do-not-call, opt-out, and revocation requests; ensuring the accuracy of submitted phone numbers, names, and related data; and ensuring that its own forms, websites, landing pages, and integrations comply with applicable law.

SkopGO does not validate the ownership of a phone number, the identity of a called party, or the legal sufficiency of a Client's disclosures, scripts, or consent flows. SkopGO may rely entirely on Client-provided data and instructions.

5. Required End-User Disclosure

Clients using outbound call functionality must provide clear and conspicuous disclosure on the form or mechanism that triggers the communication. At a minimum, the disclosure must state that the end user agrees to receive a call from the Client, which may be delivered using automated or AI-based technology, for the purpose of responding to the user's request. If text messages are also enabled, that disclosure must address text messaging as well.

Clients remain solely responsible for the wording, placement, visibility, enforceability, and legal sufficiency of all end-user disclosures and consents.

6. Business Use Only; No Consumer Reliance

The Services are offered for commercial and operational use by businesses. End users, callers, leads, and customers who interact with a Client's assistant are not parties to these Terms and should direct service, product, scheduling, billing, consent, privacy, or account-specific questions to the applicable Client.

7. Accounts and Security

You are responsible for keeping account credentials confidential, restricting unauthorized access, and ensuring that each authorized user uses the Services only for permitted business purposes. You are responsible for all activity that occurs under your account, whether or not specifically authorized by you, unless caused by SkopGO's own breach of these Terms.

You must promptly notify SkopGO at info@skopgo.com if you become aware of unauthorized access, credential compromise, or suspected misuse of the Services.

8. Client Content and Instructions

As between SkopGO and the Client, the Client owns and remains responsible for its prompts, scripts, knowledge bases, call flows, uploaded files, customer records, recordings, transcripts, messages, and other information or content submitted to or generated through the Services ("Client Content").

The Client grants SkopGO a non-exclusive, limited right to host, process, transmit, store, copy, format, analyze, and otherwise use Client Content solely as necessary to provide, secure, support, maintain, improve, and comply with law in connection with the Services.

9. Prohibited Uses

You may not use the Services to violate any law, regulation, or third-party right; make unlawful, deceptive, harassing, fraudulent, abusive, or unsolicited communications; impersonate a person or entity in a misleading or unlawful manner; use altered or deceptive caller identification information in violation of law; upload or use Client Content that you do not have the right to use; attempt to gain unauthorized access to the Services; interfere with or disrupt the integrity, security, or performance of the Services; or use the Services to develop or train a competing service.

10. Suspension and Risk Controls

SkopGO may suspend or restrict access to outbound or other features if complaints, opt-outs, error patterns, data anomalies, suspected compliance issues, payment issues, or misuse create legal, operational, or reputational risk.

11. AI and Automation Limitations

The Services use automated systems and AI-generated outputs. Responses, summaries, classifications, transcripts, and suggested actions may contain errors, omissions, bias, or misinterpretations. The Services are operational tools, not a substitute for legal, compliance, medical, accounting, financial, or other professional advice.

The Client is responsible for reviewing, supervising, testing, and validating its assistants, scripts, prompts, workflows, and outputs before and during production use.

12. Privacy and Data Handling

SkopGO's collection and use of personal information relating to its own websites, account administration, sales, support, security, and operations is described in the Privacy Policy.

Where SkopGO processes personal information on behalf of a Client, SkopGO acts as a service provider or processor to the Client, and the Client remains responsible for its own notices, permissions, legal bases, and instructions.

13. Fees, Billing, and Suspension

Fees are as specified in the applicable service plan or agreement. SkopGO may suspend Services for non-payment or material breach of these Terms. Suspension does not relieve the Client of payment obligations.

Unless a separate signed agreement states otherwise, website pricing, feature summaries, and usage examples are provided for general commercial information only and do not constitute a prepaid telecommunications plan, guaranteed allotment, or fixed-capacity commitment.

14. Pricing and Illustrative Usage Examples

Where a website or sales page describes a monthly amount as including software usage credit or shows approximate minute or message equivalents, those examples are illustrative only and assume the specific usage scenario stated on the page. Actual capacity varies based on the combination of voice, messaging, workflow automation, integrations, and other billable platform activity used during the billing period.

Unless expressly stated in a signed order form or service agreement, unused monthly minimum commitments or usage credit do not roll over to a later billing cycle.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKOPGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, SkopGO shall not be liable for claims arising from Client-provided phone numbers, wrong or reassigned numbers, lack or invalidity of consent, Client websites or forms, Client disclosures, Client content, or Client instructions.

16. Indemnification

The Client agrees to defend, indemnify, and hold harmless SkopGO and its owners, employees, contractors, and agents from and against claims, damages, liabilities, penalties, fines, losses, costs, and expenses arising out of or related to the Client's data collection practices, Client Content, disclosures, consent flows, phone numbers, call-triggering events, or use of the Services in violation of law or these Terms.

17. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
